These terms

These Terms of Service govern any engagement with SmartLogic SEO, Fyrrevej 7, 5591 Gelsted, Denmark, whether purchased as a one-off deliverable, a monthly retainer, or agreed separately via /contact/. By placing an order or signing a retainer agreement, you accept these terms.

Scope of engagement

Every package on this site states its exact scope, deliverables, and price on its own page. That stated scope is the engagement — work outside it is out of scope unless separately agreed in writing (including by email). One-off deliverables (audits, sprints, campaigns) are fixed-scope, single-delivery engagements. Retainers (Foundation, Growth, Scale) are ongoing monthly engagements that renew automatically each billing period until cancelled under the terms in our Refund & Cancellation Policy.

Fees and payment

All prices are shown in DKK, exclusive of VAT. Danish moms (25%) is added at checkout for consumers and for businesses without a valid reverse-charge VAT number. One-off deliverables are invoiced on order; retainers are invoiced monthly in advance. Payment is currently processed through a demonstration checkout — see clause 9.

Client responsibilities

You agree to provide timely access to systems reasonably required for the engagement (e.g. Google Search Console, Google Analytics, CMS access), respond to requests for approval or information within a reasonable time, and ensure any content or data you provide us is accurate and that you have the right to share it. Delays on your side may affect delivery timelines stated on package pages.

Intellectual property

On full payment, deliverables created specifically for you — reports, audits, content briefs, and similar work product — become your property to use as you see fit. SmartLogic SEO retains all rights to its own internal methodology, tools, templates, and know-how, which remain ours even where used to produce your deliverables. We may reference the existence of an engagement (not confidential details) in our own portfolio unless you ask us not to, in writing.

No guarantee of results

SEO outcomes — rankings, traffic, or AI-answer citations — are determined by search engines and AI systems we do not control, and can be affected by factors outside any agency's influence (algorithm changes, competitor activity, your own site changes). We do not guarantee specific rankings, traffic increases, or AI citation outcomes. What we do commit to is delivering the stated scope, to the stated standard, within the stated timeframe.

Liability

To the extent permitted by Danish law, our total liability arising from any engagement is limited to the fees paid to us for that specific engagement in the three months preceding the event giving rise to the claim. We are not liable for indirect or consequential loss, including loss of profit, revenue, or business opportunity. Nothing in these terms limits liability that cannot be excluded under Danish law, including liability for death or personal injury caused by negligence, or fraud.

Confidentiality

Each party agrees to keep the other's confidential business information private and to use it only for the purposes of the engagement, both during and after its term.

Checkout and payment processing (current state)

The checkout on this site currently runs in a clearly labelled demonstration mode: no card details are collected, transmitted, or stored, and no real payment is processed. Orders placed are treated as confirmed engagements and invoiced separately by SmartLogic SEO. This clause will be updated once a live payment processor is connected.

Termination

One-off deliverables may not be terminated once work has commenced except as described in our Refund & Cancellation Policy. Retainers may be terminated by either party after the minimum term with 30 days' written notice, or immediately by either party for material, uncured breach.

Governing law

These terms are governed by Danish law. Any dispute not resolved directly will be subject to the jurisdiction of the Danish courts. Consumers may also refer a dispute to the Danish Competition and Consumer Authority (Konkurrence- og Forbrugerstyrelsen) or the EU Online Dispute Resolution platform (ec.europa.eu/consumers/odr).

Changes to these terms

We may update these terms from time to time; the date at the top shows the last revision. Continued use of an active retainer after a material change constitutes acceptance, and we'll notify active retainer clients directly by email of any material change.
